2. Marketplace Disclaimer

Navo is a technology platform that facilitates connections between independent vehicle owners ("Hosts") and independent renters ("Renters"). Navo is not a vehicle rental company, dealership, transportation carrier, insurer, broker, or repair provider. Navo does not own, lease, maintain, inspect, control, or operate vehicles listed on the platform unless expressly stated otherwise in writing.

3. No Responsibility for Vehicles

All vehicles are offered and controlled solely by Hosts. Hosts are solely responsible for the legality, safety, maintenance, condition, registration, inspection, insurance, and operation of their vehicles. Navo makes no representations or warranties regarding any vehicle, including its safety, roadworthiness, legality, cleanliness, reliability, availability, or fitness for any purpose.

4. Rental Relationship Disclaimer

The rental transaction is solely between the Host and the Renter. Navo is not a party to any agreement between Hosts and Renters other than providing the technology platform that facilitates the transaction. Navo will not reimburse for any losses, damages, or expenses arising from a rental transaction; Navo will, however, help facilitate resolution between Host and Renter to the best of its ability, where appropriate and where required by applicable law.

5. Insurance Disclaimer

Any insurance, protection products, or coverage made available through the platform are offered and administered solely by third-party insurance carriers, administrators, or providers. Navo is not an insurance company, insurance producer, claims administrator, or adjuster and does not make coverage determinations, claims decisions, or guarantees regarding coverage availability or payment.

6. Eligibility

You must be at least 21 years of age (18 in select markets) to use the Platform as a Renter. You must possess a valid, unexpired driver's license issued in your jurisdiction of residence. You must be legally authorized to operate the vehicle you rent. Navo reserves the right to verify your identity, driving record, and eligibility at any time.

7. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to update it as necessary. You may not transfer or share your account.

8. Prohibited Conduct

• Use the Platform for any unlawful purpose.
• Use a rented vehicle for commercial livery, rideshare, or delivery services (e.g., Uber, Lyft, DoorDash) unless explicitly permitted in writing.
• Sublet or re-rent a vehicle obtained through Navo.
• Operate a vehicle under the influence of alcohol, controlled substances, or any impairing medication.
• Smoke in any vehicle obtained through the Platform — violating this may result in a $250 fine.
• Return a vehicle in a state of excessive mess or uncleanliness — this may result in a $150 cleaning fine.
• Bring pets into a rental vehicle, with the exception of eligible service animals as defined under applicable law.
• Transport controlled substances or engage in any illegal activity in or with a rental vehicle.
• Cross international borders without prior written authorization from the Host and Navo.
• Misrepresent your identity, driving history, or purpose of rental.
• Tamper with any vehicle tracking or safety systems.

9. Fees, Payments, and Payment Authorization

Navo charges platform service fees to both Hosts and Renters as described at checkout. All fees are non-refundable except as stated in our Cancellation Policy (Section 9.1 below). Payments are processed by a third-party payment processor; Navo is not responsible for payment processor errors or outages.

9.1 Cancellation Policy

Navo applies a single, platform-wide cancellation policy to every booking. Hosts do not configure per-listing cancellation terms.

• Full refundof the Trip Subtotal if the booking is canceled at least 24 hours before the scheduled trip start.
• 50% refundof the Trip Subtotal if the booking is canceled within 24 hours of the scheduled trip start.

“Trip Subtotal” means the rental amount plus the Navo service fee, sales tax, and any insurance protection purchased through the Platform. The Stripe processing fee (2.9% + $0.30) is a pass-through charge from the payment processor and is not refunded by Stripe, so it is excluded from the Trip Subtotal. No-show, host-cancellation, and platform-initiated cancellations are handled under separate sections of these Terms and the applicable Help Center articles.

You authorize Navo and its payment processors to charge your payment method for all amounts arising from your use of the Platform, including but not limited to rental charges, extensions, late fees, cleaning fees, smoking fees, tolls, tickets, impound fees, administrative fees, damage charges, deductibles, collections costs, and any other amounts owed under these Terms or any applicable rental agreement. If Navo is unable to charge your card on file, Navo may collect a different form of payment or pursue reimbursement through court of law (where applicable).

10. Assumption of Risk

By using the platform, you voluntarily assume all risks associated with vehicle rental, operation, possession, and use, including risks of property damage, bodily injury, death, theft, mechanical failure, accidents, and third-party misconduct.

11. No Guarantees / No Duty

Navo has no duty to screen, verify, inspect, supervise, monitor, or guarantee the conduct, vehicles, legality, licensing, identity, safety, quality, or actions of any user or third party.

12. Ratings and Reviews

Users may leave reviews following a completed trip. Reviews must be honest, fair, and non-defamatory. Navo reserves the right to remove reviews that violate community standards. Navo does not verify the accuracy of reviews.

13. Intellectual Property

All content, trademarks, and technology on the Platform are owned by or licensed to Navo. You may not reproduce, distribute, or create derivative works without written permission.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NAVO DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Navo and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages arising out of or relating to the Platform, any vehicle, any rental transaction, or any interaction between users, even if advised of the possibility of such damages.

16. Liability Cap

To the fullest extent permitted by law, Navo's total aggregate liability arising out of or relating to the Platform or any transaction shall not exceed the greater of (a) the total service fees paid to Navo by you during the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (US $100).

17. Release of Claims

To the fullest extent permitted by law, you release Navo from any and all claims, demands, damages, liabilities, and causes of action arising out of or relating to disputes, accidents, injuries, damages, or losses between users or involving any vehicle listed on the Platform.

18. Indemnification

You agree to defend, indemnify, and hold harmless Navo and its affiliates, officers, directors, employees, contractors, agents, and service providers from and against any claims, damages, liabilities, losses, fines, penalties, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the Platform;
• your vehicle, rental, or conduct;
• your violation of these Terms;
• bodily injury, death, or property damage arising from a rental transaction; or
• your violation of any law or third-party rights.

19. Arbitration and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any rental transaction shall be resolved exclusively through binding individual arbitration and not in court. Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive any right to a jury trial or participation in a class action, class arbitration, or representative proceeding.

20. Governing Law

These Terms are governed by the laws of the State of Illinois without regard to conflict of law principles. Any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of those courts.

21. Modifications

Navo reserves the right to modify these Terms at any time. We will provide notice of material changes via email or in-app notification. Continued use after the effective date of changes constitutes acceptance.
